Short seller James Chanos recently labeled Strategy and its Bitcoin holdings an $80 billion actionable spread, reigniting scrutiny over the company’s valuation. While the claim suggests a massive market inefficiency, the math behind the assertion ignores the complex interplay of corporate debt, preferred stock, and evolving treasury management.

The core of the argument centers on the discrepancy between Strategy’s market capitalization and the raw value of its Bitcoin reserves. As of Tuesday, the firm held 840,447 BTC—a slight decrease from its June peak—valued at approximately $53.95 billion at a market price of $64,188 per coin. With a market capitalization of $34.4 billion, the surface-level gap appears substantial. However, financial analysts warn that such a direct comparison is misleading, as it fails to account for senior financing claims, dividend obligations on preferred securities, and the company's broader software operations.

Strategy’s own dashboard currently places its modified net asset value (mNAV) near 1.04, suggesting only a narrow 4% enterprise premium. This figure stands in stark contrast to the conditions Chanos exploited during his previous foray into the trade, which he closed in November 2025 after a 50% gain. Back then, the premium on MSTR shares over its underlying Bitcoin assets was significantly wider. Today, the company’s capital structure—which includes various classes of preferred shares carrying dividend rates between 8% and 12%—creates layers of liability that common shareholders must navigate. Consequently, buying or shorting MSTR is not a direct proxy for holding Bitcoin, but rather a bet on corporate financial engineering, interest rate obligations, and the sustainability of the company's monetization program.
